These Terms of Service ("Terms") govern access to and use of the EventSimpler website, invitation pages, RSVP pages, dashboards, messaging tools, and any related products, features, content, and services we make available (collectively, the "Services"). The Services are offered by MayoFlux, doing business as EventSimpler ("EventSimpler," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of a business, organization, family, client, or another person, you represent and warrant that you are authorized to bind that party to these Terms, and "you" includes both you and that party.
1. The Services
EventSimpler is a tool that helps organizers create invitations, manage guest lists, collect RSVPs, send event-related communications through supported channels, and review event response information. EventSimpler is a communications and workflow platform. EventSimpler is not the organizer, host, sponsor, venue, security provider, promoter, insurer, ticketing guarantor, emergency response service, or legal compliance advisor for any event.
We may change, improve, limit, suspend, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.
2. Eligibility and Authority
You may use the Services only if:
- you are at least 18 years old or the age of legal majority where you live, whichever is greater;
- you can form a binding contract with us;
- you are not barred from using the Services under applicable law; and
- you will use the Services only for lawful purposes and only in connection with events, guest lists, or content you are authorized to manage.
The Services are not directed to children under 13, and children under 13 may not create accounts or directly use the Services.
3. Accounts, Credentials, and Verification
You may need to create an account to use some features. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- using strong passwords and reasonable security measures; and
- promptly notifying us at hello@eventsimpler.com if you suspect unauthorized access, account misuse, or a security issue.
We may require email, phone, identity, or other verification before enabling sending or other features. We may refuse, delay, or revoke verification in our discretion.
4. Free Access, Beta Features, and Future Pricing
The Services may currently be offered at no charge, in beta, early access, pilot, or similar pre-release form. Some features may be experimental, incomplete, or subject to higher error rates.
We may later introduce paid plans, usage limits, feature gating, paid upgrades, or other commercial terms. If we do, those changes will apply prospectively after notice as required by law.
5. Organizer Responsibilities
If you create an account, upload guest information, create event pages, or send invitations or event messages through the Services, you are an "Organizer" for purposes of these Terms.
As an Organizer, you are solely responsible for:
- the legality, safety, accuracy, and appropriateness of your events;
- the content of your invitations, event pages, custom questions, images, links, files, reminders, and messages;
- the guest information you upload, import, or collect through the Services;
- obtaining and maintaining all rights, consents, notices, and permissions required to use guest contact data and to send invitations or event-related communications;
- complying with all laws, regulations, rules, and industry standards applicable to your use of the Services, your event, your messages, and your collection or use of personal information; and
- any dispute, injury, loss, claim, or complaint involving your event, your guests, your communications, or your use of the Services.
You represent and warrant that:
- you have the right to create, upload, post, transmit, and use all content and data you submit to the Services;
- your event and content do not violate any law or third-party right;
- you will not use the Services to facilitate unlawful, deceptive, harmful, or exploitative conduct;
- any guest information you upload was collected and will be used in compliance with applicable privacy, marketing, communications, consumer protection, and data protection laws; and
- you will not upload or request collection of sensitive personal information unless we expressly support it in writing and applicable law permits it.
6. Messaging, Guest Data, and Consent
The Services may enable you to send invitations, confirmations, reminders, RSVP updates, or related event communications by email, text message, or other supported channels.
You acknowledge and agree that:
- you, not EventSimpler, are the sender, organizer, or initiator of your event communications for purposes of your relationship with your guests and your compliance obligations, except to the extent non-waivable law states otherwise;
- you are solely responsible for ensuring that you have the necessary permissions, notices, consent, lawful basis, or other authorization required to contact each recipient;
- you are solely responsible for honoring legal restrictions, opt-outs, do-not-contact requests, and other recipient rights applicable to your communications and events; and
- we may maintain suppression, block, bounce, opt-out, complaint, or abuse-prevention records to protect recipients, service providers, and the Services.
You may not use the Services to send communications that are misleading, unlawful, deceptive, defamatory, harassing, threatening, hateful, sexually explicit, or unrelated to a legitimate event workflow that you are authorized to manage.
7. Prohibited Uses
You may not use, or permit others to use, the Services to:
A. Violate the law or third-party rights
- violate any law, regulation, court order, or legal obligation;
- infringe, misappropriate, or violate any intellectual property, publicity, privacy, confidentiality, or other rights;
- impersonate any person or entity or falsely suggest affiliation, sponsorship, or endorsement;
- collect, use, share, or disclose personal information without appropriate rights or notice;
- evade sanctions, export controls, or trade restrictions.
B. Facilitate harmful, exploitative, or prohibited events, services, or content
- promote, facilitate, advertise, arrange, coordinate, or support illegal conduct;
- promote or facilitate pornography, sexually explicit content, obscene content, prostitution, escort services, sexual services, sex trafficking, child exploitation, child sexual abuse material, non-consensual intimate imagery, sexual extortion, or sexually exploitative conduct;
- promote or facilitate violence, threats, terrorism, hate, harassment, stalking, doxxing, intimidation, or incitement of harm;
- promote self-harm, suicide encouragement, unlawful weapons transactions, illegal drugs, human trafficking, counterfeit goods, fraud schemes, unlawful gambling, or other dangerous or criminal activity;
- create or manage events that discriminate unlawfully or that are illegal to organize, host, advertise, or attend.
C. Abuse communications or platform integrity
- send spam, phishing, scams, chain messages, malware, or deceptive communications;
- use purchased, scraped, rented, borrowed, or otherwise unauthorized contact lists;
- misrepresent sender identity, message purpose, or event details;
- bypass verification, rate limits, abuse controls, or security measures;
- probe, scan, reverse engineer, disrupt, overload, or interfere with the Services, networks, or service providers;
- access any account, guest data, or system you are not authorized to access;
- scrape, harvest, copy, or monitor content or data from the Services by automated means except as expressly allowed by us;
- use the Services for emergency communications or safety-critical, life-safety, medical, or dispatch purposes.
D. Submit sensitive or restricted data
Unless expressly supported by EventSimpler in writing, you may not upload, request, or process through the Services any Social Security numbers, passport numbers, driver's license numbers, government ID numbers, payment card data, bank account credentials, biometric identifiers, precise geolocation, medical or health information, insurance information, highly sensitive personal information, or similar restricted data.
We may determine in our sole discretion whether conduct, content, or an event presents an unacceptable risk to recipients, service providers, our business, or the public.
8. User Content and Licenses
"User Content" means any text, images, guest lists, event details, custom questions, responses, files, links, branding, communications, and other data or materials submitted to the Services by you or on your behalf.
You retain any rights you may have in your User Content. You grant EventSimpler a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, copy, store, process, transmit, display, adapt, format, and otherwise use your User Content as reasonably necessary to:
- operate, improve, secure, and support the Services;
- send or facilitate invitations and event-related communications at your direction;
- display invite pages, RSVP pages, dashboards, and related workflows;
- prevent abuse, detect fraud, enforce these Terms, comply with law, and protect rights, safety, and security; and
- create aggregated or de-identified insights that do not identify you or individual guests.
You represent and warrant that you have all rights necessary to grant this license.
9. Public Pages and Shared Links
Some invite pages, RSVP pages, or related event pages may be accessible to anyone with the relevant link or otherwise be visible outside your account. You are solely responsible for deciding what information appears on those pages and whether it is appropriate to share. Do not include confidential, highly sensitive, or unnecessary personal information on public or shareable pages.
10. Monitoring, Enforcement, and Cooperation
EventSimpler has no general obligation to monitor events, messages, content, guests, or user conduct, and we do not guarantee that we will detect or prevent any misuse. Our failure to monitor, review, remove, block, suspend, or report any conduct does not create liability for us and does not waive any right we may have.
We may, with or without notice and in our sole discretion, investigate, review, remove, restrict, refuse, suspend, disable, or terminate access to any content, event, account, workflow, or sending activity if we believe it may:
- violate these Terms or other policies;
- violate the law or third-party rights;
- harm recipients, guests, hosts, service providers, or the public;
- expose EventSimpler to legal, reputational, operational, or deliverability risk; or
- be abusive, deceptive, explicit, exploitative, fraudulent, or otherwise objectionable.
We may preserve logs, content, metadata, message records, account records, and other information relating to suspected abuse or legal requests. We may report conduct to service providers, regulators, rights holders, law enforcement, child safety organizations, courts, or other appropriate parties, and we may disclose information if we believe doing so is necessary or appropriate to investigate, prevent, or address illegal activity, threats, safety concerns, or violations of rights or these Terms.
11. Third-Party Services
The Services may rely on or interoperate with third-party providers, including hosting, analytics, email delivery, text messaging, file storage, verification, security, and other infrastructure providers. EventSimpler is not responsible for third-party networks, filters, outages, policy changes, delivery failures, carrier blocking, or other conduct outside our reasonable control.
Links to third-party sites or services do not imply endorsement. Your use of third-party services is governed by their own terms and policies.
12. Intellectual Property
The Services, including our software, design, trademarks, logos, visual interfaces, page layouts, and other content we provide (excluding User Content), are owned by EventSimpler or our licensors and are protected by law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purpose. Except as expressly allowed by us in writing or by law, you may not reproduce, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or exploit the Services or our content.
13. Feedback
If you provide suggestions, feedback, ideas, or improvement requests, you grant EventSimpler a perpetual, irrevocable, worldwide, royalty-free, fully paid-up right to use them for any purpose without restriction or compensation to you.
14. Copyright and Complaints
If you believe content on the Services infringes your copyright or other rights, contact hello@eventsimpler.com with sufficient detail for us to review the claim. We may remove or disable allegedly infringing content and may terminate repeat infringers where appropriate.
15. Privacy
Our Privacy Policy explains how we collect, use, disclose, and otherwise process personal information. By using the Services, you acknowledge that your information will be handled as described in the Privacy Policy.
16. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate your access to all or part of the Services immediately, with or without notice, if:
- you violate these Terms;
- we suspect fraud, abuse, unlawful conduct, safety risks, or unacceptable platform risk;
- we are required to do so by law or a service provider;
- your use harms or threatens recipients, other users, deliverability, infrastructure, or EventSimpler's operations; or
- we discontinue the Services or a relevant feature.
Upon termination, your right to use the Services stops immediately. We may delete or retain data as described in the Privacy Policy and as reasonably necessary for backups, legal compliance, dispute resolution, abuse prevention, security, accounting, or suppression-list purposes.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, EVENTSIMPLER DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, OR FREE OF HARMFUL COMPONENTS.
EVENTSIMPLER DOES NOT WARRANT OR GUARANTEE:
- that invitations, reminders, texts, or emails will be delivered, opened, received, or acted upon;
- that any event, host, guest, or organizer is legitimate, lawful, safe, or suitable;
- that content submitted by users is accurate, lawful, or non-harmful; or
- that use of the Services will achieve any specific business, attendance, response, or event outcome.
You understand that EventSimpler is not responsible for the acts, omissions, content, communications, events, premises, conduct, services, or safety practices of hosts, guests, organizers, attendees, venues, or third parties.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTSIMPLER AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR YOUR USER CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTSIMPLER'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TO EVENTSIMPLER FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this Section may not apply to you to the extent prohibited by law.
19. Release
To the maximum extent permitted by law, you release EventSimpler and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers from claims, demands, and damages arising out of or related to disputes between users, disputes between organizers and guests, disputes concerning events or communications, or the conduct of third parties.
20. Indemnification
You will defend, indemnify, and hold harmless EventSimpler and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the Services;
- your User Content, events, guest lists, messages, or communications;
- your violation of these Terms;
- your violation of any law, regulation, or third-party right;
- any allegation that you lacked the right to collect, upload, use, or communicate with guest or attendee information;
- any event-related injury, death, property damage, safety issue, fraud, scam, unlawful promotion, explicit or exploitative conduct, or guest complaint tied to your use of the Services; or
- your negligence, misconduct, or willful wrongdoing.
We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us in that defense. You may not settle any claim in a manner that imposes liability or obligations on us without our prior written consent.
21. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules.
To the extent not prohibited by law, the exclusive jurisdiction and venue for any dispute will be the state or federal courts located in Allegheny County, Pennsylvania, and each party consents to personal jurisdiction and venue there.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the Effective Date. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.
23. General Terms
These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, are the entire agreement between you and EventSimpler regarding the Services.
If any provision is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver.
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
We are not liable for delays or failures caused by events beyond our reasonable control, including outages, carrier filtering, internet failures, hosting failures, labor disputes, natural disasters, war, terrorism, civil unrest, public health events, government action, or service-provider disruptions.
Sections that by their nature should survive termination will survive, including Sections 5 through 23 and any other provisions relating to ownership, licenses, disclaimers, liability limits, indemnification, disputes, enforcement, and retained rights.
